By accessing or using Logify360 ("Service"), a product of Exocode Technologies ("we", "us", or "our"), you ("User", "Customer", or "you") agree to be bound by these Terms of Service ("Terms").

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not agree to these Terms, you must not use the Service.

Logify360 provides an AI-native observability platform that enables engineering teams to ingest, search, and analyze logs, metrics, and traces. The Service is provided on a subscription basis and includes access to our dashboard, API, and associated tools.

We reserve the right to modify, update, or discontinue features of the Service at any time without prior notice.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use Logify360 solely for your internal business operations.

You agree NOT to:

• Reverse engineer, decompile, or attempt to derive the source code of the Service.
• Use the Service to store or transmit illegal, malicious, or infringing content.
• Resell, sublicense, or white-label the Service without our express written permission.
• Conduct vulnerability scanning or penetration testing without our prior authorization.
• Use the Service to train a competing AI/ML model.

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized access to your account. We are not liable for any loss or damage arising from your failure to protect your password.

• Billing: Paid subscriptions are billed in advance on a monthly or annual basis.
• Authorization: You authorize us to charge your payment method for all applicable fees.
• Taxes: All fees are exclusive of taxes. You are responsible for paying all applicable taxes, including Goods and Services Tax (GST), currently charged at 18% under Indian law.
• Refunds: Payments are non-refundable unless required by law. You may cancel your subscription at any time, but you will not receive a refund for any unused portion of the current billing cycle.

We strive to maintain 99.9% uptime. However, the Service is provided "AS IS" and "AS AVAILABLE." We are not liable for downtime caused by:

• Third-party cloud provider outages (e.g., AWS/GCP failures).
• Force majeure events (e.g., natural disasters, internet backbone failures).
• Scheduled maintenance (for which we will provide advance notice).

• Your Data: You retain full ownership of the logs, metrics, and traces you upload ("Customer Data"). You grant us a worldwide, royalty-free license to use, process, and store this data solely to provide the Service.
• Our IP: We retain all rights, title, and interest in the Logify360 Platform, including our software, AI models, algorithms, designs, and trademarks.

• Confidentiality: Both parties agree to keep non-public information confidential.
• AI Training: We may use aggregated, anonymized usage data to improve our "AI Query" models. We do not use your raw, private logs to train models shared with other customers.

THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.

TO THE MAXIMUM EXTENT PERMITTED BY INDIAN LAW:

• INDIRECT DAMAGES: IN NO EVENT SHALL EXOCODE TECHNOLOGIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL).
• LIABILITY CAP: OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIMS ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE INCIDENT.

You agree to indemnify and hold harmless Exocode Technologies, its officers, and employees from any claims, damages, or expenses (including legal fees) arising out of: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any third-party rights.

• Governing Law: These Terms shall be governed by the laws of India.
• Arbitration: Any dispute arising out of these Terms shall be resolved by binding arbitration in Delhi NCR, India, in accordance with the Arbitration and Conciliation Act, 1996.
• Jurisdiction: For any matters not subject to arbitration, you submit to the exclusive jurisdiction of the courts located in Delhi, India.

We may suspend or terminate your access to the Service immediately if you violate these Terms (e.g., non-payment, abusive usage). Upon termination:

• Your right to use the Service ceases immediately.
• We will delete your Customer Data after 30 days, unless you request an earlier deletion or export.

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or a dashboard notice. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
